Pubphirst Inc, hereinafter referred to as “Pubphirst”, is pleased to provide the Service to You (or “Publisher”) according to the following terms and conditions (the “Terms of Service” or “TOS”).
By accessing and/or using the service and/or by executing the insertion order, you accept the TOS. The TOS will become a legal and enforceable contract between us and you.
1. DEFINITIONS
“Ad(s)” means any advertisement, including a display ad, Native Ad, video ad, paid search, hyperlink, keyword, and related terms.
“Applicable Law(s)” means all applicable laws, rules, regulations, or binding determinations of any governmental authorities.
2. SITE ELIGIBILITY AND APPROVAL
By using the Program, you confirm that you are of legal age to enter into a binding contract. You agree to provide accurate and complete Registration Data. Pubphirst reserves the right to deny or withdraw participation of any Site at its sole discretion.
5. REPRESENTATIONS & WARRANTIES
Your use of the Service shall accord with the Specifications and instructions communicated by Pubphirst. You agree not to provide Inventory that:
- Introduces viruses or other malware.
- Infringes on intellectual property rights.
- Contains sexually explicit material or promotes illegal activities.
6. FEES; PAYMENT
Pubphirst shall pay Publisher the price of Advertising Inventory delivered by Pubphirst Buyers. Payments are made on a monthly basis within seventy-five (75) days of the applicable month.
8. DISCLAIMER
EXCEPT AS EXPRESSLY SET FORTH IN THIS TOS, PUBPHIRST DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES. THE SERVICE IS PROVIDED "AS IS".
10. LIMITATIONS OF LIABILITY
IN NO EVENT WILL PUBPHIRST BE LIABLE FOR CONSEQUENTIAL, INDIRECT, OR INCIDENTAL DAMAGES.
